INTRODUCTION TO THE COMPANY

1931 Funding, LLC (the “Company” or “1931 Funding”) was formed on February 20, 2018 as a limited liability company in the state of Pennsylvania. The Company was formed for the purpose of aggregating and providing investment funds to firms that provide Merchant Cash Advances (MCA) to merchants that they identify, underwrite and service. The Company is managed by Elliot Goldberg.

Merchant cash advances can provide critical working capital to small and medium size businesses that are underserved by traditional institutional banks. Even those banks who do provide funding products for small business typically require a lengthy period of time for processing and funding loans or cash advances. Successful and growing merchants have unexpected needs that must be met quickly, and banks are not able to meet their timetable. Merchant Cash Advances were designed to meet these merchant’s needs for short term funding in a timely manner. This is the market that 1931 Funding will operate in and provide capital to MCA funding firms for the merchants that they identify, fund and service.

Elliot Goldberg (the “Manager”) has been a Registered Investment Advisor since 2004 where he has been managing investment accounts of individuals, corporations, trusts and retirement plans. Mr. Goldberg has extensive experience in the industry. In 2013, he started offering alternative asset classes to clients which can allow them to diversify their overall portfolio. These include asset classes such as annuities, merchant cash advances, life settlements and secured notes of private companies.

There are currently 324 MCA funding firms operating in the U.S., supplying capital to thousands of companies each month.

Summary of Operations

1931 Funding, LLC provides funds to Firms that provide Merchant Cash Advances (MCA) to merchants that they identify, underwrite and service.

An MCA is the purchase of a piece of a merchant’s future revenue in exchange for providing cash to the merchant today. Few banks currently cater to the needs of small to medium sized merchants. Even those banks who do, typically require a lengthy period of time for processing and funding loans or cash advances. Successful and growing merchants have unexpected needs that must be met quickly, and banks are not able to meet their timetable. Merchant Cash Advances were designed to meet these merchant’s needs for short term funding in a timely manner.

1931 Funding, LLC's subscribers provide funds to the Company, which then distributes funds to multiple Firms to participate in multiple MCAs that the Firms identify, underwrite and service.

Firms then collect periodic payments, typically daily, from the Merchants. On a periodic basis, typically weekly, Firms will remit payment to 1931 Funding, LLC on a pro-rata basis dependent upon the participation percentage that 1931 Funding has in that particular MCA after deducting any processing fees. The difference between the sum of these payments for a particular MCA and the funds initially provided to each individual Merchant is the profit that 1931 Funding realizes.

President

Elliot Goldberg is an independent Registered Investment Advisor that believes that education is the key to making informed financial decisions.

He was born in New York City in 1952 and grew up in Rockland County, New York. He graduated from Rensselaer Polytechnic Institute in 1974 with a Bachelor of Science in Mathematics and a minor in Computer Science.

After college, Elliot worked for General Electric in their information systems division and then for Alexander and Alexander, an insurance brokerage firm.

In March 1975, he formed Goldata Information Services, Inc., a computer consulting firm based in New York. He married in 1980 and moved to the western suburbs of Philadelphia where he established Goldata Computer Services, Inc. and built it into a successful computer consulting and software company.

By the late 1990’s, he focused his time managing his personal assets. Starting in 2004, Elliot started managing third-party assets in addition to his own focusing on helping clients meet their financial goals.

He currently lives in Gladwyne, Pennsylvania and is married with 2 children and 1 grandchild.

Terms of the offering

$10,000,000

Minimum Subscription: $20,000 (2 Notes)

The Company is offering a maximum of 1,000 Series D Promissory Notes of various classes at a face value equal to $10,000 per Note. Upon completion of the Offering between 0 and 1,000 Series D Promissory Notes will be issued.

Class W Note: Note holder has a continual one (1) month option to accelerate maturity of the note at any time. Actual maturity of note is five (5) years. Note providing an annualized non-compounding simple interest rate equal to six percent (6%) with interest payments paid to Note holder monthly until option is exercised. Then, remaining interest and principal paid.

Class X Note: Note holder has a continual three (3) month option to accelerate maturity of the note at any time. Actual maturity of note is five (5) years. Note providing an annualized non-compounding simple interest rate equal to seven and one-half percent (7.5%) with interest payments paid to Note holder monthly until option is exercised. Then, remaining interest and principal paid.

Class Y Note: Note holder has a continual six (6) month option to accelerate maturity of the note at any time. Actual maturity of note is five (5) years. Note providing an annualized non-compounding simple interest rate equal to nine percent (9%) with interest payments paid to Note holder monthly until option is exercised. Then, remaining interest and principal paid.

Class Z Note: Twelve (12) month maturity Note providing an annualized non-compounding simple interest rate equal to fourteen percent (14%). Principal and interest payable at Maturity.

Class A1 Note: Twenty-four (24) month maturity Note providing an annualized non-compounding simple interest rate equal to sixteen percent (16%). Principal and interest payable at Maturity.

Class A2 Note: Thirty-six (36) month maturity Note providing an annualized non-compounding simple interest rate equal to eighteen percent (18%). Principal and interest payable at Maturity.

Class A3 Note: Sixty (60) month maturity Note providing an annualized non-compounding simple interest rate equal to twenty percent (20%). Principal and interest payable at Maturity.

Class A4 Note: Twelve (12) month maturity Note providing an annualized non-compounding simple interest rate equal to eleven percent (11%) with interest payments paid to Note holder monthly. Principal due at Maturity.

Class A5 Note: Twenty four (24) month maturity Note providing an annualized non-compounding simple interest rate equal to twelve percent (12%) with interest payments paid to Note holder monthly. Principal due at Maturity.

Class A6 Note: Thirty six (36) month maturity Note providing an annualized non-compounding simple interest rate equal to thirteen percent (13%) with interest payments paid to Note holder monthly. Principal due at Maturity.

Class A7 Note: Sixty (60) month maturity Note providing an annualized non-compounding simple interest rate equal to fourteen percent (14%) with interest payments paid to Note holder monthly. Principal due at Maturity.
